1. ACCEPTANCE OF TERMS

By accessing or using the GoVelo application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and GoVelo Innovations LLC ("GoVelo", "we", "us", or "our").

2. ELIGIBILITY

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you meet this requirement. GoVelo reserves the right to refuse service to anyone for any reason at any time.

3. SERVICES

GoVelo provides a technology platform that connects riders with independent driver-partners for transportation services, food delivery (GoVelo Bites), grocery delivery (GoVelo Market), and hourly driver hire. GoVelo does not provide transportation services directly and is not a transportation carrier.

4. ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. GoVelo is not liable for any loss resulting from unauthorized use of your account.

5. RIDER RESPONSIBILITIES

As a rider, you agree to:

- Provide accurate pickup and drop-off information.

- Be present at the designated pickup location at the scheduled time.

- Treat drivers with respect and courtesy.

- Not engage in any unlawful or disruptive behavior during a ride.

- Pay all applicable fares, fees, and charges.

- Comply with any vehicle or driver policies communicated through the App.

6. DRIVER PARTNERS

Drivers who use the GoVelo platform are independent contractors, not employees of GoVelo. GoVelo does not control the manner in which drivers perform their services. GoVelo conducts background checks and driving record checks as part of the driver approval process, but does not guarantee the conduct of any driver.

7. FARES AND PAYMENT

Fare estimates are provided before you book a ride. Final fares may vary based on actual distance, time, tolls, or other factors. GoVelo does not apply surge pricing. You agree to pay the fare displayed at the time of booking plus any applicable fees (pet fee, stop fees, etc.). All card payments are processed securely through Stripe. Cash payments are accepted at the rider's election.

8. CANCELLATIONS AND NO-SHOWS

Rides may be cancelled prior to driver acceptance at no charge. Cancellations after driver acceptance may incur a cancellation fee. Riders who are no-shows after driver arrival may be charged a no-show fee. Drivers reserve the right to cancel rides at their discretion.

9. RATINGS AND FEEDBACK

After each ride, you may be asked to rate your driver. Ratings are used to maintain service quality. Providing false or malicious ratings is prohibited.

10. PROHIBITED CONDUCT

You agree not to:

- Use the App for any unlawful purpose.

- Harass, threaten, or harm any driver or other user.

- Attempt to defraud GoVelo or any driver.

- Reverse engineer, copy, or distribute any part of the App.

- Use the App to solicit drivers to operate outside of the GoVelo platform.

- Circumvent any safety features of the App.

11. SAFETY

GoVelo provides safety features including Ride Match™ PIN verification, ride recording, and trip sharing. You are responsible for your own safety and agree to use these features as intended. In an emergency, always call 911 first. GoVelo's 24/7 safety line is (800) 960-5440.

12. INTELLECTUAL PROPERTY

All content, trademarks, logos, and technology within the App are the exclusive property of GoVelo Innovations LLC. You may not reproduce, distribute, or create derivative works without our prior written consent.

13. DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GOVELO DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVELO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP OR THE SERVICES, EVEN IF GOVELO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GOVELO'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GOVELO IN THE SIX MONTHS PRECEDING THE CLAIM.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GoVelo Innovations LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the App or violation of these Terms.

16. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of Okaloosa County, Florida.

17. CHANGES TO TERMS

GoVelo reserves the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms. We will notify users of material changes via email or in-app notification.

18. TERMINATION

GoVelo may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
